Terms of use

1. Introduction

The HANA TPP Developer Portal (“Developer Portal”), its contents, and the HANA application programming interfaces (“APIs”), are owned by Hana bank plc ("we" or "our" or "us") or our licensors. We are registered in South Korea under business registration number 202-81-14695 with our registered office at 35 Euljiro, Jung-gu, Seoul.

By accessing any part of the Developer Portal, we will assume you have read, understood and accepted these Terms of Use ("Terms") in full. We may revise these Terms at any time, so you should periodically check the Developer Portal to review the then current Terms as they may contain changes that you should be aware of.

We may make changes and updates to the Developer Portal, its contents and APIs at any time and these Terms will apply to any such changed or updated Developer Portal, its contents and the APIs.

Legal notices or terms found on particular pages of the Developer Portal may supersede these Terms. Where you have registered for additional services you may also be subject to additional terms.

2. Access

Access to the Developer Portal is open to Third Party Providers (“TPPs”) that are authorised or registered by the Financial Conduct Authority (“FCA”) or other relevant national competent authorities (“NCAs”) in the European Union to provide account information services or payment initiation services respectively. TPPs authorised or registered by the FCA must also be listed on the Open Banking Limited (“OBIE”) directory.

Access to the Developer Portal by TPPs authorised or registered by a NCA is available from 14 September 2019.

You are responsible for your access to, and use of, the Developer Portal. If we know or reasonably suspect that you have suffered a security breach that impacts on the security, confidentiality or integrity of the Developer Portal, APIs or any other users, we will notify you and, where relevant, OBIE, the FCA or other NCAs.

3. Content

Unless otherwise stated, the copyright, trademarks and other intellectual property rights in all material on or provided via the Developer Portal (including without limitation data, code, text, tools, and graphical images) (“Content”) are owned by us or our licensors. You are granted a non-exclusive, non-transferable licence, without the right to grant sub-licences, to use the Content and the APIs for your own business purposes and to provide services to your customers.

You must not copy, reproduce or adapt any part of the Developer Portal, its Content or the APIs without our prior written consent. You may store or produce print outs or extracts of the Content for your own internal purposes in support of the use of the APIs, provided that you do not claim or imply ownership or authorship of such Content and that the source of such Content and our authorship of it is acknowledged.

Any use of the Developer Portal, APIs or Content other than in accordance with these Terms, the Open Banking API User Terms or as permitted by law is prohibited.

Any rights not expressly granted in these Terms are reserved.

4. Confidentiality

Unless otherwise stated, the Developer Portal, the APIs and any Content provided is information that is confidential to us and must not be shared with any third party without our prior written consent. You may share such confidential information with your employees, sub-contractors, consultants or professional advisors on a need-to-know basis to support your use of the APIs. This does not affect any disclosure that is permitted by law or the rules of any court, tribunal, regulatory authority or other entity of competent jurisdiction.

5. Availability

While the Developer Portal, Content and APIs is normally available 24 hours a day, we will not be liable if for any reason they are unavailable at any time. Access to the Developer Portal, Content or APIs may be suspended temporarily and without notice in the case of system failure, for urgent maintenance, or for reasons beyond our control in accordance with our rights under applicable law.

Support for the APIs will be provided in accordance with the support documentation contained within the Developer Portal. We may change or withdraw such support from time to time.

6. Visitor material and conduct

Any material you transmit via, or post to, the Developer Portal will be considered non-confidential and non-proprietary. We have no obligations with respect to such material. We may copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied in them for any commercial or non-commercial purposes.

You must exercise reasonable care whilst using the Developer Portal and APIs, and comply with all applicable laws and regulations and the terms of your authorisations. You must take reasonable precautions to avoid doing, or omitting to do, anything that may harm us, the Developer Portal, the APIs, or any other users of the Developer Portal or APIs.

You must comply with any acceptable use policy that we introduce in relation to the Developer Portal or APIs, and with any service bulletins we may issue.

You must not misuse the Developer Portal, including by attempting to bypass security controls, or by transmitting anything which is harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, or other malicious software).

We may report any such behaviour, where appropriate, to law enforcement or other regulatory authorities. We will provide all necessary co-operation to the same, including complying with any request, or court order directing us, to disclose the identity or location of users that misuse the Developer Portal.

7. Links to and from other Websites

Links to third party websites on the Developer Portal are provided solely for your convenience. If you use these links, you leave the Developer Portal. We have not reviewed these third-party websites and do not control, and are not responsible for, their content or availability. We do not endorse or make any representations about them, or any material found there. If you decide to access any of the third-party websites linked to the Developer Portal, you do so entirely at your own risk.

If you would like to link to the Developer Portal, you may only do so on the basis that you link to, but do not replicate, the home page of the Developer Portal, and subject to the following conditions:

(a) you do not remove, distort or otherwise alter the size or appearance of the any images or logos;

(b) you do not create a frame or any other browser or border environment around the Developer Portal;

(c) you do not in any way imply that the we are endorsing any products or services other than our own;

(d) you do not misrepresent your relationship with us nor present any other false information about us;

(e) you do not otherwise use any trade marks displayed on the Developer Portal without our express written permission;

(f) you do not link from a website that is not owned by you; and

(g) your website does not contain content that is defamatory, distasteful, offensive or controversial, infringes any intellectual property rights or other rights of any other person or otherwise does not comply with all applicable laws and regulations.

We can revoke the right granted in this section if you breach any of these conditions and we will take any action we deem appropriate, including legal recovery for any loss or damage suffered by us for breach of this permission.

8. Disclaimer

The Content on the Developer Portal is here to give you access to and information about our APIs and services. Though we try and keep the Content up to date, there may be a time delay before we can do so. The Content may not tell you all you need to know, and you should not rely solely on the Content for any decision that you make. If you have any technical or other queries about our APIs or services, you can ask us via openapi@hanafn.com.

The information on this Developer Portal is provided “as is” and on an “as available” basis. To the maximum extent permitted by law, we do not warrant or represent that access to the Developer Portal, APIs or Content will be continuously available for use or be without inaccuracies or defects.

We are not responsible if the means of communication you use to access the Developer Portal or to send us information about yourself or to receive information from us does not work properly or is compromised.

Your use of the Developer Portal, APIs and Content is, subject to applicable law and regulation, entirely at your own risk.

9. Liability

To the fullest extent permitted by law, we will not be liable to you for any actions, costs, expenses, losses or damages (whether direct or indirect) incurred as a result of your use of the Developer Portal, Content and APIs.

You will indemnify us and hold us harmless from and against all actions, costs, expenses, losses or damages (whether direct or indirect and including all consequential losses), resulting from any breach by you of these Terms.

10. Governing law and jurisdiction

These Terms are governed by and construed in accordance with English law. Disputes arising in connection with these Terms are subject to the exclusive jurisdiction of the English courts.
